  1. LICENSE AGREEMENT
  2.  
  3. Except as otherwise stated in a signed agreement, this License
  4. Agreement governs your use of this Software licensed from TeamQuest
  5. Corporation. Use of this Software indicates your acceptance of these
  6. terms, and payment of the applicable license fee confirms such
  7. acceptance. If these terms are not acceptable, return the Software for
  8. a full refund.
  9.  
  10. License
  11.  
  12. TeamQuest grants you a non-exclusive, non-transferable license to use
  13. this Software. Except for TeamQuest Lite Software, you are limited to
  14. using the Software with a specific computer system. If this Software
  15. includes an unkeyed component (see "Use of Key" below), you may copy,
  16. install and use such component on any appropriate computer system so
  17. long as the component is used only for interacting with an authorized
  18. and keyed copy of TeamQuest Framework. You may copy, install, and use
  19. TeamQuest Lite on any appropriate computer system. This Software is
  20. provided in object code form only.
  21.  
  22. Use of Key
  23.  
  24. (This section does not apply to TeamQuest Lite.) The authorized use of
  25. this Software requires a certification key. This Software is initially
  26. delivered with a temporary key which will allow use of the Software
  27. with any appropriate computer system for only 30-days, after which the
  28. Software will be inoperable. Upon payment in full of the applicable
  29. license fee, you will be provided with the key which allows use of this
  30. Software for the applicable license period with a specific computer
  31. system. If you notify TeamQuest that the computer system with which
  32. this Software is being used is inoperable, or that applicable law
  33. permits transfer of the Software to another computer, TeamQuest will,
  34. subject to U.S. export law, provide the required key so that the
  35. Software can be used with a back-up or transferee computer system as
  36. applicable. Additional fees may be required if such computer system is
  37. of a different type or model.
  38.  
  39. Restrictions
  40.  
  41. The Software is confidential copyrighted information of TeamQuest, Sun,
  42. and/or other third party owners and title to all copies is retained by
  43. TeamQuest, Sun and/or their licensors. You shall not decompile,
  44. disassemble, decrypt, extract, or otherwise reverse engineer the
  45. Software. The Software may not be leased, assigned, or sublicensed, in
  46. whole or in part, except as specifically authorized in the "License"
  47. section, above.
  48.  
  49. Limited Warranty Of Conformity; Remedy
  50.  
  51. Beta Test software is licensed "AS IS" with no performance warranty.
  52. For other software, TeamQuest warrants that for ninety (90) days after
  53. the date you opened the package containing this Software, the Software
  54. will perform substantially as described in the standard user
  55. documentation accompanying the Software, provided that you use the
  56. Software with the operating system and in the environment for which it
  57. was designed and configured. Upon receipt of notification from you that
  58. this Software fails to comply with the warranty during the warranty
  59. period, TeamQuest's sole obligation under this warranty, and your
  60. exclusive remedy, shall be for TeamQuest to use commercially reasonable
  61. efforts to correct or modify the defective Software so that it will
  62. perform according to warranty. If TeamQuest cannot correct the defect
  63. in the Software within a reasonable time, then you may return the
  64. Software to TeamQuest for a full refund.

  66. DISCLAIMER/EXCLUSION OF WARRANTIES
  67.  
  68. EXCEPT AS SET FORTH IN THIS AGREEMENT, TEAMQUEST MAKES NO OTHER
  69. WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE USE OR OPERATION OF THIS
  70. SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW TEAMQUEST
  71. DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A
  72. PARTICULAR PURPOSE.

  74. Limitation Of Liability
  75.  
  76. To the maximum extent permitted by applicable law: (i) TeamQuest's
  77. total liability for any breach of this Agreement, negligence, or
  78. Software failure, shall be the lesser of your direct damages or the
  79. sale price of the license to use the Software; and (ii) in no event
  80. shall TeamQuest's liability exceed the foregoing, or include
  81. incidental, indirect, special, cover or consequential damages, even if
  82. such damages arise from decisions made in reliance on results generated
  83. by the operation of the Software. Any third party owner/licensor is an
  84. intended beneficiary of the terms of this agreement and the limitation
  85. of liabilities for TeamQuest and such owner/licensor are not
  86. cumulative.
  87.  
  88. US Government Restricted Rights
  89.  
  90. Use, duplication or disclosure by the United States government is
  91. subject to the restrictions as set forth in the Rights in Technical
  92. Data and Computer Software Clauses in DFARS 252.227-7013(c) (1) (ii)
  93. and FAR 52.227-19(c) (2) as applicable.
  94.  
  95. Legal Construction
  96.  
  97. Any provision of this Agreement that is invalid or unenforceable shall
  98. not affect any other provision hereof, and this Agreement shall remain
  99. in effect as long as it accomplishes the intents and purposes of the
  100. parties. The U.N. Convention on Contracts for the International Sale of
  101. Goods shall not apply to this Agreement. If this Agreement is not valid
  102. or enforceable unless translated into a certain foreign language, then
  103. you waive the applicability of such requirement. If such waiver is not
  104. possible, then you covenant to translate this Agreement into the
  105. required language prior to using the Software.
  106.  
  107. Export Regulations
  108.  
  109. The Software, including technical data, is subject to U.S. export
  110. control laws, including the U.S. Export Administration Act and its
  111. associated regulations, and may be subject to export or import
  112. regulations in other countries. You agree to comply strictly with all
  113. such regulations and acknowledge that you have the responsibility to
  114. obtain licenses to export, re-export, or import the Software. The
  115. Software may not be downloaded, or otherwise exported or re-exported
  116. (i) into, or to a national or resident of, Cuba, Iraq, Iran, North
  117. Korea, Libya, Sudan, Syria or any country to which the U.S. has
  118. embargoed goods; or (ii) to anyone on the U.S. Treasury Department's
  119. list of Specially Designated Nations or the U.S. Commerce Department's
  120. Table of Denial Orders.

  122. Perl
  123.  
  124. A Standard Version of Perl for Win32 platforms is released with certain
  125. TeamQuest Software as granted by the Artistic License from ActiveState
  126. Tool Corporation. To obtain the latest Standard Version in its
  127. entirety, see ActiveState's Web site at http://www.activestate.com/.

  129. Java Software
  130.  
  131. Additionally, the following provisions apply to the Java Runtime
  132. Environment and/or Java Foundation Classes software and documentation
  133. ("Java Software"), which is included with certain TeamQuest Software:
  134.  
  135. Java Platform Interface
  136.  
  137. You may not modify the Java Platform Interface ("JPI", identified as
  138. classes contained within the "java" package or any subpackages of the
  139. "java" package), by creating additional classes within the JPI or
  140. otherwise causing the addition to or modification of the classes in the
  141. JPI. In the event that you create any Java-related API and distribute
  142. such API to others for applet or application development, you must
  143. promptly publish broadly, an accurate specification for such API for
  144. free use by all developers of Java-based software.

  146. Disclaimer of Warranty
  147.  
  148. The Java Software is provided "AS IS," without a warranty of any kind.
  149. The Java Software is not designed or intended for use in online control
  150. of aircraft, air traffic, aircraft navigation or aircraft
  151. communications; or in the design, construction, operation or
  152. maintenance of any nuclear facility. You warrant that you will not use
  153. or redistribute the Java Software for such purposes. ALL EXPRESS OR
  154. IMPLIED REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY
  155. OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR
  156. NON-INFRINGEMENT, ARE HEREBY EXCLUDED.
  157.  
  158. Limitation of Liability

  160. SUN AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES SUFFERED BY
  161. YOU OR ANY THIRD PARTY AS A RESULT OF USING OR DISTRIBUTING THE JAVA
  162. SOFTWARE. IN NO EVENT WILL SUN OR ITS LICENSORS BE LIABLE FOR ANY LOST
  163. REVENUE, PROFIT OR DATA, OR FOR DIRECT, INDIRECT, SPECIAL,
  164. CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED AND
  165. REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR
  166. INABILITY TO USE THE JAVA SOFTWARE, EVEN IF SUN HAS BEEN ADVISED OF THE
  167. POSSIBILITY OF SUCH DAMAGES.

  169. Trademarks and Logos
  170.  
  171. This Agreement does not authorize you to use any Sun name, trademark or
  172. logo. You acknowledge that Sun owns the Java trademark and all
  173. Java-related trademarks, logos and icons including the Coffee Cup and
  174. Duke ("Java Marks") and you agree to: (i) comply with the Java
  175. Trademark Guidelines at: http://java.sun.com/trademarks.html; (ii) not
  176. do anything harmful to or inconsistent with Sun's rights in the Java
  177. Marks; and (iii) assist Sun in protecting those rights, including
  178. assigning to Sun any rights acquired by you in any Java Mark.
